The Department of Justice and the Securities and Exchange Commission have continued their aggressive enforcement of the Foreign Corrupt Practices Act. While there have been fewer settlements in 2012 than prior years, a number of Fortune 500 companies have disclosed ongoing internal investigations and potential FCPA violations, including companies in the retail, aerospace, pharmaceutical and medical device, financial, oil and gas, technology, entertainment and manufacturing sectors.
In response to efforts to revise the FCPA, the Justice Department and the SEC have promised to release new guidance on FCPA compliance. In addition, the Justice Department issued its first declination of prosecution based on a company's overall compliance efforts. At the same time, the Justice Department and the SEC have imposed new enhanced compliance requirements on companies, which may signal a new trend of compliance expectations.
